Overview
The terms and conditions outlined in this document constitute a legal agreement between BasicB Inc. and users (clients, professionals, you) of our website. By using our site to browse, book or review any content, you agree to the terms and conditions outlined.
A client is any user that is browsing or booking services through our website.
A professional is any user that is having their services posted through our website. The professionals provide services to the clients.
BasicB Inc. (BasicB, us, are we, our) is an online website (www.basicb.vip) providing a service that connects consumers seeking beauty treatments to the professionals that provide them. Consumers may opt for treatments in their own home. Our platform provides a suite of tools that facilitates the booking process.
BasicB does not provide beauty services or products. All services or products used are provided by third party providers that can be scheduled through the use of our website. BasicB has no responsibility or liability as a result of any booking made through our application. It is up to the sole discretion of the client and professional to agree to the service arrangement.
We reserve the right to modify these terms without notice and it is up to the users of our site to regularly review.
Definitions
"BasicB Professional" or "Professional" means a person who has signed up with BasicB to offer their services as a service provider.
"BasicB Client" means a person who has signed up with BasicB to book services offered by a service provider (BasicB Professional).
"Service fee" is the fee we charge for using our platform. The service fee applies to BasicB professionals.
"Booking" mean an appointment that has been booked through the BasicB platform.
"Professionals Payment" means the payment that is paid to the professional minus the service fees and taxes collected.
"Completed booking" means an appointment that has been completed and marked as complete in the platform
"Cancelled booking" means an appointment that has been cancelled by either the client or professional
"Store" means your profile where the services you provide are listed as a BasicB professional
Your Account
Where use of our Services requires an account, you agree to provide us with complete and accurate information when you register for an account. You will be solely responsible and liable for any activity that occurs under your username. You are responsible for keeping your account information up-to-date and for keeping your password secure.
You are responsible for maintaining the security of your account and any Service-related website, store, or other content, and you are fully responsible for all activities that occur under your account and any other actions taken in connection with our Services. You shall not share or misuse your access credentials. You must immediately notify us of any unauthorized uses of your account, store, or website, or of any other breach of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
When you create a BasicB.vip account, we consider that to be an inquiry about our products and services, which means that we may contact you to share more details about what we have to offer. Don't worry — if you aren't interested in learning more, you can opt out of the marketing communication.
Minimum Age Requirements
Our Services are not directed to children. Access to and use of our Services is only for those over the age of 18. If you are younger than this, you may not register for or use our Services. Any person who registers as a user or provides their personal information to our Services represents that they are 18 years of age or older.
Responsibility of Visitors, Users and Professionals
We have not reviewed, and cannot review, all of the content (such as, but not limited to, text, photo, video, code, computer software, stores or services for sale) posted to our website by users or anyone else ("Content") and are not responsible for any use or effects of such Content. So, for example:
We do not endorse any Content or represent that the Content is accurate, useful, or non-harmful. Content could be offensive, indecent, or objectionable; include technical inaccuracies, typographical mistakes, or other errors; or violate or infringe the privacy, publicity rights, intellectual property rights (see our Copyright Infringement and DMCA Policy section to submit copyright complaints), or other proprietary rights of third parties.
If you post Content, review, services description, profile details, comment on a website, or otherwise make (or allow any third party to make) Content available on our website, you are entirely responsible for the Content, and any harm resulting from, that Content or your conduct.
We disclaim any responsibility for any harm resulting from anyone's use, purchase, or downloading of Content. If you access or use any Content, you are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.
Any Content offered for sale through our platform are the seller's sole responsibility, and you agree that you will look solely to the seller for any damages that result from your purchase or use of Content.
We are not a party to, and will have no responsibility or liability for, any communications, transactions, interactions, or disputes between you and the provider of any Content.
Please note that additional third party terms and conditions may apply to the downloading, copying, purchase, or use of Content.
Whoever is providing the environment must ensure it is safe, clean and has the relevant requirements to have the service formed such as adequate space and electricity.
Copyright Infringement and DMCA Policy
As we ask others to respect our intellectual property rights, we respect the intellectual property rights of others. If you believe that material located on or associated with our services or service violates your copyright, please notify us by emailing us at basicb.vip. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. We will terminate a visitor's access to and use of the website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of BasicB or others. In the case of such termination, we will have no obligation to provide a refund to the offending party whether it be client or professional.
Intellectual Property
The Agreement does not transfer from BasicB to you any BasicB or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with BasicB. BasicB, BasicB Inc., BasicB.vip and all other trademarks, service marks, graphics, and logos used in connection with BasicB.vip or our Services, are trademarks or registered trademarks of BasicB. Other trademarks, service marks, graphics, and logos used in connection with our Services may be the trademarks of other third parties. Your use of our Services grants you no right or license to reproduce or otherwise use any BasicB or third party trademarks.
You must have copyright rights to upload any imagery or content you upload to BasicB. Any imagery or content uploaded which infringes on copyright will be yours to defend and/or pay the corresponding damages. Imagery uploaded must be your original work and you have obtained permissions to upload from but not limited to the model and photographer. You provide BasicB the right to use any image or content uploaded to promote the BasicB brand or your services.
Termination & Cancellation
We may terminate your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. We have the right (though not the obligation) to, in our sole discretion, (i) reclaim your BasicB username or BasicB website's URL due to prolonged inactivity, (ii) refuse or remove any content that, in our reasonable opinion, violates any BasicB policy or is in any way harmful or objectionable, (iii) ask you to make some adjustments, restrict the resources your website uses, or terminate your Services, if we believe your website's storage or bandwidth usage is out of hand and burdens our systems (which is rare), or (iv) terminate or deny access to and use of any of our Services to any individual or entity for any reason. We have no obligation to provide a refund of any amounts previously paid or owing.
If you are a client booking services through BasicB and wish you cancel, you may simply discontinue using our service. You are required to pay for any services you consumed. If you wish to terminate and remove your account fully, please email us at basicb.vip
If you are a professional posting your services through BasicB and wish to cancel, you must email us at basicb.vip and inform that you wish to cancel. You are responsible to deliver all scheduled services through BasicB that have not been cancelled until your account has been officially cancelled. We will send you an email that we received your cancellation request and an email when your profile has been removed. You are in a non-compete contract with BasicB and may not contact or deliver services to BasicB customers. BasicB customers refer to any customer that booked you through BasicB for the first time. See Non-Compete for more information.
All provisions of the Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability
Store
Creating a profile as a BasicB professional means you have experience and training in the area(s) you service. If you are providing services to others, you must operate professionally and within the law and best practices set out by the corresponding group. For example, if you provide massages, you must be a registered massage therapist with an active good standing from the College of Massage Therapists of Ontario.
You must only offer services that are professional and allowed by law. You must only use products that are permitted for use in your region.
Payment and Charges
BasicB Professionals: We charge you a set fee for any service booked through our platform.. The fee is 10% + 3% credit card processing fees for a total of 13%. The fee is based on the service booked. (Example, if a $100 service is booked - we collect $100+HST from the client. Seven days after the service is marked complete, we deposit $87 in your account.) Funds are not deposited into your account until you mark the appointment as complete. Once the appointment is marked complete, the professionals payment is deposited 7 days after to allow time for processing and disputes. You must mark the appointment as complete in order to receive payment, if you do not - the professionals payment will not be issued. It is your responsibility to ensure the bank account information provided is accurate. If funds are deposited into the wrong account due to you listing the wrong information - we will not be responsible.
BasicB Clients: We accept credit card as a form of payment. You guarantee that the credit card is yours and that you will not charge back any services you booked. If you are unhappy with a service, please email us at [email protected] and we will investigate. Complaints must be filed within 3 days of the service appointment as after that the funds are transferred to the professional.
We may at our sole discretion refuse to offer a discount or promotional code that has not been used as intended. This includes but is not limited to codes not issued to you, stacking multiple offers or misusing coupons that have not been issued to you by BasicB directly. You are not authorized to use promotional codes outside of the ones issued by BasicB.
Non Compete
BasicB Professionals: You agree to not work with any BasicB client outside of the BasicB platform. All communication must take place on the BasicB platform. A BasicB customer is any customer that found or first booked you through the BasicB platform. If you wish to terminate your arrangement with BasicB, please follow the termination clause in this agreement. You agree to not compete with BasicB or contact any BasicB customers or other BasicB professionals for 3 years from the date of your termination. The termination date is the date we email you confirmation that we received your request to termination and your profile has been removed. If you are a BasicB client, you agree to only book your BasicB professional directly through the platform. If you wish to terminate your account, you agree not to contact any BasicB clients or professionals for a period of 3 years from the date of your termination. The termination date is the date we email you confirmation that we received your request to termination and your profile has been removed.
Disclaimer of Warranties
Our Services are provided "as is." BasicB and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither BasicB, nor its suppliers and licensors, makes any warranty that our Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, our Services at your own discretion and risk.
Jurisdiction and Applicable Law.
Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the province of Ontario, Canada, excluding its conflict of law provisions. The proper venue for any disputes arising out of or relating to the Agreement and any access to or use of our Services will be the state and federal courts located in Toronto, Ontario.
Arbitration Agreement
Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under the Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. ("JAMS") by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Toronto, Ontario, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce the Agreement shall be entitled to costs and attorneys' fees.
Limitation of Liability
In no event will BasicB, or its suppliers or licensors, be liable with respect to any subject matter of the Agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; (iv) for any damages caused by the client or professional during the appointment or after ;or (v) for any amounts that exceed $50 or the service fees collected by BasicB for that professional only under the Agreement during the six (6) month period prior to the cause of action, whichever is greater. BasicB shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law. BasicB does not provide any salon services and as not responsible for any actions caused by the professionals. BasicB is also not responsible for any damages as a result of a booked appointment to either the client or professional.Indemnification
You agree to indemnify and hold harmless BasicB, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all losses, liabilities, demands, damages, costs, claims, and expenses, including attorneys' fees, arising out of or related to your use of our Services, including but not limited to your violation of the Agreement, Content that you post, and any ecommerce activities conducted through your or another user's website.
Insurance & Theft
All BasicB professionals must carry their own relevant insurance. BasicB does not offer any insurance to the professionals or clients. It is the sole responsibility for the professional to carry the relevant and required insurance. It is the responsibility of the client to inquire on the professionals insurance prior to the appointment.
Clients are responsible for securing any valuables both at the site of a BasicB professional or their own location. BasicB carries no responsibility for stolen or damaged belongings.
US or Canadian Economic Sanctions
You expressly represent and warrant that your use of our Services and/or associated services and products is not contrary to applicable U.S. or Canadian Sanctions as well as the EU (European Union). Such use is prohibited, and we reserve the right to terminate accounts or access of those in the event of a breach of this condition.
Translation
These Terms were originally written in English (US). We may translate these terms into other languages. In the event of a conflict between a translated version of these Terms and the English version, the English version will control.
Other
If any clause is deemed void or unenforceable, that clause should be severed and the rest of the terms of use will still apply.
Miscellaneous
The Agreement constitutes the entire agreement between BasicB and you concerning the subject matter hereof. If any part of the Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of the Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
You may assign your rights under the Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; BasicB may assign its rights under the Agreement without condition. The Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
Tax
All BasicB professionals are responsible for managing their own taxes. All BasicB Professionals are an independently operating business, BasicB acts as a referring service only. BasicB is not responsible for any activities performed or not performed by a BasicB professional.
There is no employer relationship between BasicB and BasicB professionals. BasicB professionals operate as their own entities. BasicB does not collect any source deductions (for example but not limited to) or other as no BasicB professionals are employees of BasicB.
Complaints and Customer Service
BasicB professionals will use their best efforts to resolve any client complaints. If a complaint is filed, it will be up to the BasicB professional and customer to negotiate a successful resolution. We will refer any complaint that is service related such as quality or showing up late or not taking as long as the appointment specified directly to the BasicB professional. If the complaint is related to BasicB booking services such as the correct amount not being taken or promotional codes not applying - we will deal with the complaint.
Any service related complaints should be opened within 5 days of the appointment. BasicB holds funds for 5 days before starting the payment process to the professional. If a complaint is filed for a service within those 5 days, BasicB will hold the funds for a maximum of 14 days before making a decision based on the evidence from both sides on what to do.
BasicB professionals and clients acknowledge that a review system is part of the BasicB platform which allows clients to leave reviews for professionals they have booked. All reviews and review responses must be professional in manner. No profanity or inappropriate content should be posted as a review. Only information pertaining to your experience is allowed on the site. BasicB reserves the right to remove any review or review response that is deemed not appropriate at the sole discretion of BasicB. BasicB will NOT remove a review simply because it is a bad or a good review. You agree to not tamper or take advantage of the review system by creating fake reviews or simulating bookings that aren't real. Any violations of these terms will be deemed a material breach of this agreement.
Customer Data
All data within the BasicB platform is considered BasicB data with the exception of payment information (Credit card details). All BasicB data is owned by BasicB and can be used however BasicB wishes including but not limited to bettering the platform.
